Our methods reduce Cost & Time by 99% and maximize ROI. VREE Labs provides an online platform that enables businesses to adopt AR commerce at a low cost and with no effort. Our technology allows businesses to turn 2D images into 3D models instantly at zero cost and integrate them with virtual try-on solutions. We generate these 3D models using out inhouse developed technology, which is based on AI and deep learning, however for the virtual try-on solution we use under a license agreement a 3rd party provider, SPACEGOO SARL (Jeeliz®, WebAR.rocks®), a company incorporated under the laws of the State of France with company number 528414675. Our website and services are intended for use by businesses and other organizations and not for personal use. VREE Labs works on a Saas business model which enables businesses to participate in the service on a monthly basis fees starting as a Free plans and moving up to more expensive plans based on the scope of service that the business requires. THESE TERMS OF USE ("AGREEMENT") SET FORTH THE LEGALLY BINDING TERMS FOR YOUR USE OF THE SITE AND SERVICES. In addition, You agree not to use the Site or Services to: (a) upload, transmit or distribute any computer viruses, Trojan horses, computer worms, time-bombs, keystroke loggers, spyware, adware, malware, trapdoors, spamming, or any other software intended to damage or alter a computer system or data; (b) send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, hoax, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (c) harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent; (d) interfere with, damage or disrupt servers or networks connected to the Site or violate the regulations, policies or procedures of such networks; (e) attempt to gain unauthorized access to the Site or Services, other computer systems or networks connected to or used together with the Site, through password mining or other means; or (f) harass or interfere with another user's use and enjoyment of the Site or Services. We reserve the right (but have no obligation, except as and to the extent required by applicable law) to review any User Content, investigate, and/or take appropriate action against You in our sole discretion (including removing or modifying Your User Content, terminating Your Company Account in accordance with Section 9, and/or reporting You to law enforcement authorities) if You violate the Acceptable Use Policy or any other provision of this Agreement or otherwise create liability for us or any other person. INDEMNITY You agree to indemnify and hold Company (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of (a) Your use of the Site or Services, (b) Your User Content, or (c) Your violation of this Agreement. Company reserves the right, at Your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify us and You agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Company. Company will use reasonable efforts to notify You of any such claim, action or proceeding upon becoming aware of it. WE MAKE NO WARRANTY THAT THE SITE OR SERVICES: (A) WILL MEET YOUR REQUIREMENTS; (B) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (C) WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE. IN ADDITION; (A) WE ARE NOT RESPONSIBLE FOR THE PROPERTIES, THEIR QUALITY, CONDITION, MAINTENANCE, AND SAFETY FOR GUESTS, AS WELL AS FOR THE TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE PROPERTIES; AND (B) WE ARE NOT RESPONSIBLE FOR YOUR CANCELATION AND REFUND POLICY ASSOCIATED WITH THE PROPERTIES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. TERM AND TERMINATION Subject to this Section, this Agreement will remain in full force and effect while You use the Site and/or Services. We may (a) suspend your rights to use the Site and/or Services (including Your Company Account) or (b) terminate this Agreement, at any time for any reason at our sole discretion, including for any use of the Site and/or Services in violation of this Agreement. Upon termination of this Agreement, Your Account and right to access and use the Site and/or Services will terminate immediately. You understand that any termination of Your Account involves deletion of Your User Content associated therewith from our live databases. Company will not have any liability whatsoever to You for any termination of this Agreement, including for termination of Your Account or deletion of Your User Content. Even after this Agreement is terminated, the following provisions of this Agreement will remain in effect: Sections 2.1-2.3, 3.2-3.4 and 4-11 COPYRIGHT POLICY Company respects the intellectual property of others and asks that users of our Site and Services do the same. In connection with our Site and Services, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination, in appropriate circumstances, of users of our online Site and Services who are repeat infringers of intellectual property rights, including copyrights. If You believe that one of our users is, through the use of our Site and Services, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, please contact admin@vree.ai and we will take action as necessary. FEES The Services enabled by the Platform are subject to payment of fees (“Fees”). You shall order the Services by going through the purchasing process available on our Site and pay the Fees using one of the payment methods we support, such as credit card. Fees are payable in US Dollars and you shall pay all taxes associated with your use of the Services. We reserve the right to change our Fees and offer that Fees will be charged in other currencies. REFUND POLICY All prices listed on our website are final and non-refundable. As a company that specializes in the sale of digital assets, we do not offer refunds for any purchases made. This policy is in place due to the nature of digital products, which once delivered, cannot be returned or revoked. By making a purchase on our website, you acknowledge and agree to this non-refundable pricing policy. We advise all customers to review their orders carefully before completing any transaction to ensure satisfaction with the product being purchased.Before proceeding with your purchase: Be sure that you are purchasing the correct plan. Company may review and change the terms and conditions of this Agreement periodically as appropriate. Continued use of Company's Site or Services following such changes shall indicate Your acknowledgement of such changes and agreement to be bound by the terms and conditions of this Agreement. Passwords. If You elect to register and obtain a password, You represent and warrant that You will not transfer Your password, as it is not transferable. You are responsible for creating and maintaining the security and access to Your password. Company is not liable for any unauthorized access to Your account due to Your failure to maintain a secure password. Governing Law. This Agreement shall be governed by the laws of the State of Israel without giving effect to any conflict of laws principles that may provide the application of the law of another jurisdiction. You agree to submit to the personal jurisdiction of the  courts located at Tel-Aviv, Israel for the purpose of litigating all such claims or disputes. Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction. Privacy. By submitting personal data through the Site or Services, You agree to the terms of Company's Privacy Policy, as may be amended from time to time. Entire Agreement. This Agreement constitutes the entire agreement between You and us regarding the use of the Site and Services. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. The word ‘including’ means ‘including without limitation’. If any provision of this Agreement is, for any reason, held to be invalid or unenforceable, the other provisions of this Agreement will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Neither Company nor You is an agent or partner of the other. This Agreement, and Your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by You without Company's prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.
