Transfer and Processing Data In order for us to provide our Services, you agree that we may process, transfer and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law. Dispute Resolution; Binding Arbitration Please carefully review the following section as it necessitates you to resolve particular disputes and claims with jimu Labs by means of arbitration, effectively limiting how you can seek redress from us, unless you choose to opt out of arbitration by following the instructions provided below. Both class actions and representative actions or arbitrations are not permitted under this arbitration provision. Further, arbitration prevents you from filing a lawsuit in court or having a trial by jury. No Representative Actions. You and jimu Labs concur that any disagreement arising from or related to these Terms or our Services is personal to you and jimu Labs, and that any such dispute will be addressed solely through individual action and will not be brought as a class arbitration, a class action, or any other type of representative proceeding. Arbitration of Disputes. Apart from small claims disagreements in which you or jimu Labs intend to undertake an individual action in a small claims court located in the region of your billing address, or disputes where you or jimu Labs seeks an injunction or other equitable relief for allegedly infringing or misappropriating intellectual property rights, both you and jimu Labs forgo your rights to a jury trial and having your dispute, including claims related to privacy and data security, (collectively, "Disputes") resolved in court. Instead, should you have any Dispute with jimu Labs, you concord to first liaison with jimu Labs and try to resolve the claim informally by sending a written notice of your claim ("Notice") to jimu Labs at legal@jimulabs.com. Such Notice should (a) consist of your name, residential address, email address, and telephone number; (b) outline the nature and basis of the Dispute; and (c) specify the precise relief wanted. Our notice to you will follow a similar format. If you and jimu Labs are unable to reach an agreement to resolve the Dispute within thirty (30) days of receipt of this Notice, then either side may submit the Dispute for binding arbitration managed by the ADR Institute of Canada or alternatively, under limited circumstances described above, to a court. All Disputes forwarded to the ADR Institute of Canada will be resolved privately, with binding arbitration before one arbitrator. Unless you are a consumer, arbitration proceedings will be held in British Columbia; as a consumer, you may choose to have the arbitration performed in your own province. For the purposes of this Section, a "consumer" denotes an individual using the Services for personal, family, or household reasons. You and jimu Labs agree that the Disputes will be conducted according to the ADRIC Arbitration Rules ("ADRIC Rules"). The latest version of these rules are accessible on the ADRIC's website and are hereby incorporated by reference. You affirm that you have read and understood the ADRIC Rules, or alternatively, you waive your chance to read the ADRIC Rules and relinquish any claim that the ADRIC Rules are unfair or should not apply for any given reason. You and jimu Labs agree that the arbitration clause will be both procedurally and substantively governed by the local arbitration law, including the Domestic Commercial Arbitration Rules of Procedure, and will apply to the maximum extent permitted by current laws. The arbitrator will have the exclusive capacity to decide on all procedural and substantive decisions about any Dispute and to grant any remedy that would ordinarily be available in court, including the power to decide on the matter of arbitrability. The arbitrator may only carry out an individual arbitration and may not consolidate claims of more than one individual, preside over any type of class or representative proceeding, or oversee proceedings involving more than one individual. The arbitration permits the discovery or exchange of non-confidential information pertinent to the Dispute. The arbitrator, jimu Labs, and you will maintain the confidentiality of any arbitration proceedings, judgments, and awards, including data accumulated, arranged, and presented for the purpose of the arbitration or related to the Dispute(s) therein. The arbitrator has the power to make suitable rulings to guard confidentiality, unless the law orders otherwise. This duty of confidentiality does not apply where disclosure is necessary to prepare or conduct an arbitration hearing on the merits; in connection with a court application for initial remedy; in connection with a legal challenge to an arbitration award or its enforcement; or where disclosure is otherwise necessitated by law or judicial decision. You and jimu Labs agree that for any arbitration you initiate, you will pay the filing fee (up to a maximum of $250 if you are a consumer), and jimu Labs will pay the remaining JAMS fees and costs. For any arbitration initiated by jimu Labs, jimu Labs will pay all JAMS fees and costs. You and jimu Labs agree that the state or federal courts of the State of Delaware and the United States sitting in Delaware have exclusive jurisdiction over any appeals and the enforcement of an arbitration award. Any Dispute must be filed within one year after the relevant claim arose; otherwise, the Dispute is permanently barred, which means that you and jimu Labs will not have the right to assert the claim. You have the right to opt out of binding arbitration within 30 days of the date you first accepted the terms of this Section 14 by sending an email to legal@jimulabs.com. In order to be effective, the opt-out notice must include your full name and address and clearly indicate your intent to opt out of binding arbitration. By opting out of binding arbitration, you are agreeing to resolve Disputes in accordance with Section 14. If any portion of this Section 14 is found to be unenforceable or unlawful for any reason, (a) the unenforceable or unlawful provision shall be severed from these Terms; (b) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of this Section 14 or the parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to this Section 14; and (c) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration.
