Account RegistrationTo use Jackrabbit Ops, you must create an account. Subscription & Payment4.1 PricingSubscription fees are based on your selected plan and usage. Current pricing is available on our website or through your sales representative. We may modify pricing with 30 days' notice.4.2 BillingSubscriptions are billed in advance on a monthly or annual basisAll fees are non-refundable except as required by lawYou authorize us to charge your designated payment methodOverdue payments may result in service suspension4.3 Free TrialWe may offer free trials. Write access to your connected systems is only enabled with your explicit authorization and can be revoked at any time.6. Acceptable UseYou agree not to:Use the Platform for any unlawful purposeAttempt to gain unauthorized access to our systemsInterfere with or disrupt the Platform's operationReverse engineer, decompile, or disassemble the PlatformUse the Platform to compete with Jackrabbit OpsShare your account credentials with third partiesUpload malicious code or contentCircumvent usage limits or access controls7. Service Level AgreementWe commit to 99.9% uptime for paid subscriptions, excluding scheduled maintenance and circumstances beyond our reasonable control. Details are available in our SLA documentation.Uptime Guarantee99.9%Support Response< 4 hoursData BackupDailyDisaster Recovery< 24 hours8. Intellectual PropertyJackrabbit Ops and its licensors own all rights to the Platform, including software, algorithms, designs, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license to use the Platform as described herein.Feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation to you.9. ConfidentialityBoth parties agree to maintain the confidentiality of proprietary information disclosed during the course of using the Platform. This includes your manufacturing data, operational metrics, and our non-public features, pricing, and documentation.10. DisclaimersTHE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.While our AI provides insights based on your data, decisions made using the Platform are your responsibility. We do not guarantee the accuracy of AI-generated analysis or recommendations.11. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, JACKRABBIT OPS'S LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.12. IndemnificationYou agree to indemnify and hold harmless Jackrabbit Ops from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.13. You may request export of Your Data within 30 days of termination.14. Governing Law & DisputesThese Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court for intellectual property violations.15. Changes to TermsWe may modify these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect. Your continued use after changes become effective constitutes acceptance.16. General ProvisionsEntire Agreement: These Terms constitute the entire agreement between you and Jackrabbit OpsSeverability: If any provision is found unenforceable, the remaining provisions remain in effectWaiver: Failure to enforce any right does not waive future enforcementAssignment: You may not assign these Terms without our consent17.
