Change or Suspension of ServiceThe Company may, at its discretion, add, change, suspend or terminate the Service, in whole or in part, as necessary (collectively, "Changes, etc.").If the Company changes a free plan to a paid plan in the Service or introduce a new paid plan due to the Changes, etc. in the Service, the Company will notify the User of the necessary matters including service fees.Even in the event of any Changes, etc. in the Service pursuant to the provisions of this Article and the User incurs any damages as a result thereof, the liability on the Company shall not exceed the total amount of the service fees actually paid by the User to the Company for the Service, unless the Company commits any willful misconduct or gross negligence.Article 4. Scope of Company's LiabilityThe liability on the Company shall not exceed the total amount of the service fees actually paid by the User to the Company for the Service, unless the Company commits any willful misconduct or gross negligence, even in the event that the User incurs any damages (including, but not limited to, damages stipulated in each item of this paragraph) resulting from the use of the Service (including, but not limited to, information provision by the Company or third party in relation to such use) or inability to use the Service.(1). damages incurred by the User as a result of downloading contents provided by a third party or accessing a linked web site managed or operated by a third party through the Service;(2). damages incurred by the User as a result of unauthorized modification of the Service, unauthorized access to data related to the Service, computer viruses or other unauthorized actions, even though the Company has taken reasonable safety measures; and(3). damages incurred by the User as a result of interruption, delay or suspension of the server, system or the Service of the Company or loss of data, due to any failure in the Company's network or computer.In whatever cases, the Company shall not be liable for indirect damages, lost profits or any other damages that exceed the scope of direct and ordinary damages.Article 5. Ownership of Copyrights, etc. in ServiceAll copyrights, trademarks, know-how and other intellectual property rights related to the Service related to the text, images, designs, logos or programs referred or described in the Service (collectively, "Intellectual Property Rights, etc.") belong to the Company or the legitimate owner of such rights.The User may not use, reprint or reproduce the Intellectual Property Rights, etc. without prior consent from the Company.The User may not lease or transfer the Service to a third party, nor may the User grant a sublicense of the Service to a third party.The User shall not analyze files output by using the Service, and not provide, use or duplicate such files for other applications, nor shall the User allow or assist any third party to do so.In the event that the User violates paragraphs 1 through 4 of this Article above or is otherwise deemed inappropriate in terms of the operation of the Service, the Company will suspend the use of the Service for such User, claim for compensation for damages or take any other action (including but not limited to legal action) if necessary.In the event that the Company or a third party are damaged as a result of the User's violation of this Article or other provisions in the Terms of Use, such User shall compensate, at his/her responsibility and burden of cost, for all damages borne by the Company or a third party.Article 6. Plan of ServiceThe plans in the Service are as follows: (i) basic functions: free plan and (ii) advice report function: paid plan.The amount of monthly service fee, payment method and other necessary information for paid plan is listed on the application pages for paid plan, so please confirm the items in advance when applying for paid plan.  Please note that the Company will not refund the service fee or any other fees received from the User for whatever reason.The plans in the Service are subject to the Changes, etc. as necessary at the Company's discretion.Article 7. Invalidation of User Registration and Suspension of Use of ServiceThe Company reserves the right to invalidate the User's registration for the Service without prior notice if the Company determines that the User falls under any of the following items.(1).any violation of the Terms of Use; or(2).any other reason that the Company deems inappropriateIn the case of the preceding paragraph, the Company shall not be liable for any loss or damage incurred by the User.  In the event that the User's registration for the Service is invalidated in accordance with the preceding paragraph, the Company may discard the information in such registration by an appropriate manner.Article 8. ProhibitionsThe User shall not perform any actions listed in each item of this Article.any actions that are incompliance with laws and regulations or public order and morals or the Terms of Use;any actions that implies, induces, encourages or recommends illegal, criminal or antisocial behaviors;any actions of annoyance, harassment, slander or unjustified actions that may cause mental or financial damages to others;any actions that infringe the Intellectual Property Rights, etc.  such as copyrights or trademarks of the Company, other User or any third party;any actions that infringes the property, credit, reputation or privacy of the Company, other User or any third party;any actions that overburden the Company's server beyond the scope of normal use, encourage such overburden or other actions that interfere with the operation of the Service; and.other actions that the Company deems inappropriate.Article 9.Disclaimer of CompanyThe Company shall not be liable to the User for any of the following:any loss or damage caused by the missing, theft, transfer, lease or unauthorized access of the User's account information;troubles between the User and a third party (including advertising client);malfunction of equipment or network used by the User;loss of registered information due to force majeure such as accident or disaster;deletion of registered information in accordance with the Terms of Useloss of information registered for the Service obtained through the server; orany loss or damage incurred by the User as a result of nonconformity, defect, suspension, modification or discontinuation of the Service.Article 10. Transfer of RightsIn the event that the Company transfers the business of the Service in the process of merger, business transfer or other event, the Company may transfer the rights and obligations under the Terms of Use and the information registered by the User to the successor of the business. The User will be deemed to agree to such transfer prescribed in this Article in advance.Article 11. Dispute ResolutionIn the event of any dispute arising out of or in connection with the Service or these Terms of Use, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
