("OpenDoc AI," "Company," "We," or "Us"). They outline your rights and responsibilities when using the Service. By accepting these Terms, you confirm that you are above the age of 18, have read and understood these Terms and our Privacy Policy, and agree to comply with them. Section 2: Subscription and Payment 2.1 Subscriptions: To access and use the Service, you must have a subscription with OpenDoc AI. Depending on the specific components and features of the Service you choose, you may obtain one or more subscriptions ("Subscriptions"). The details of your Subscription(s) will be specified in the subscription purchase, order form, or other ordering document entered into between you and OpenDoc AI ("Order Document"). 2.2 Subscription Fees and Billing: By agreeing to these Terms, you agree to pay OpenDoc AI the fees associated with each Subscription as stated in the relevant Order Document ("Subscription Fee"). Billing will occur on a recurring basis ("Billing Cycle"), either monthly or annually as specified in the Order Document. Your Subscription will automatically renew at the end of each Billing Cycle unless you or OpenDoc AI cancels the Subscription. You can cancel the Subscription renewal by accessing your online account management page or contacting OpenDoc AI's customer support team. 2.3 Fee Changes: OpenDoc AI reserves the right to modify the Subscription Fees for the Subscriptions at any time. You will receive prior notice of any changes in Subscription Fees. Your continued use of the Service after the change in Subscription Fee constitutes your agreement to pay the modified amount. 2.4 Payment Terms: The Subscription Fee is due in advance. It is your responsibility to provide accurate and complete billing information, including a valid payment method. By submitting your payment information, you authorize OpenDoc AI to charge all Subscription Fees to your chosen payment instrument. Failure to pay Subscription Fees may result in termination of your Subscription. 2.5 Taxes and Refunds: You are responsible for any applicable taxes or charges. Subscription Fees are generally non-refundable, unless expressly provided otherwise in these Terms or required by applicable law. Section 3: User Accounts 3.1 User Accounts: To use the Service, you must have an account with OpenDoc AI. If you are an end user associated with a Customer, you must have an individual account associated with the Customer before accessing and using the Service. In the case of multiple end users under a single Customer, each end user must have an individual account. 3.2 Account Requirements: Opening an account requires you to be at least 18 years old and provide accurate user information. You are responsible for maintaining the security of your login credentials and informing us promptly about any unauthorized use of your account. Section 4: OpenDoc AI Service 4.1 Software as a Service and License: OpenDoc AI grants you a limited, non-transferable, and non-exclusive license to access and use the Service for legitimate business purposes. Your use of the Service must adhere to these Terms and the Agreement. OpenDoc AI retains all right, title, and interest in the Service and its intellectual property. 4.2 Restrictions on Use: You agree not to use the Service for the benefit of third parties, sublicense or transfer the Service, modify the Service's source code, or remove any copyright or proprietary rights notices. When using the Service, you must comply with all applicable laws and regulations. 4.3 Service Availability and Security: OpenDoc AI will make reasonable efforts to maintain the availability and security of the Service. However, please note that OpenDoc AI does not guarantee uninterrupted access to the Service and cannot be held responsible for any unauthorized access to Customer Data. Section 5: Ownership and Intellectual Property 5.1 OpenDoc AI Ownership: All data and intellectual property related to the Service, including software, source code, programs, and materials, are owned by OpenDoc AI. Except as expressly provided in these Terms, you do not have any rights in this intellectual property. 5.2 Improvements: OpenDoc AI may make improvements to the Service based on your contributions. By using the Service, you assign all rights to these improvements to OpenDoc AI. Section 6: Customer Data and Generated Data 6.1 Customer Data: You retain ownership of all Customer Data. By using the Service, you grant OpenDoc AI a license to access and use Customer Data for the purpose of providing the Service. 6.2 Generated Data: OpenDoc AI may collect and analyze data related to the use of the Service. This data will be used to improve the Service and may be disclosed in aggregated or de-identified form. Section 7: ConfidentialityBoth parties agree to maintain the confidentiality of any confidential information shared during the use of the Service. Confidential information includes the Service, Customer Data, and any non-public information obtained during the Agreement. Section 8: Representations and WarrantiesOpenDoc AI represents and warrants that the Service will perform as described and comply with applicable laws. Customer represents and warrants that it owns or has the necessary rights to provide Customer Data and will comply with all applicable laws. Section 9: Limitation of LiabilityOpenDoc AI is not liable for any indirect, special, or consequential damages arising from the use of the Service. The total liability of OpenDoc AI is limited to the amount paid by you for the Service within the last twelve months. Section 10: IndemnificationOpenDoc AI will indemnify and defend you against any third-party claims that the Service infringes any United States patent or copyright. You will indemnify and defend OpenDoc AI against any claims arising from your use of the Service. Section 11: Changes to these TermsOpenDoc AI may modify these Terms at any time. You will receive prior notice of any material changes. Your continued use of the Service after the revised terms become effective constitutes your agreement to the modified terms. Section 12: AccessibilityOpenDoc AI strives to provide an excellent online experience for all users. If you have any accessibility concerns, please contact us directly. Section 15: MiscellaneousThese Terms are governed by the laws of the State of New Jersey. Any legal proceedings will be brought in the state and federal courts in New Jersey. These Terms constitute the entire agreement between the parties and supersede any prior negotiations or representations.
